由于目前不再专设有企业传讯部，本通讯由人事行政部进行编辑制作并以在线阅读的方式每季度呈现给大家。在专业设计上，这支新的制作队伍可能尚差强人意，但我们倾注以同样的热忱并衷心希望这份朴拙的内刊成为大家沟通的平台并与你们分享欢欣和暖意。

慈善和公益

公司在上海财经大学的助学金计划正持续进行。.目前，候选的优秀研究生资料已送抵人事部。

另外，上海公司已正式通过上海根与芽青少年活动中心参与了“绿色办公室环境评估项目”。（详见后页）

同时，人事行政部有意不定期组织一些慈善活动以回报社群，以上海为例，可能以《上海志愿者》为依托找寻一些适合的项目。需要提及的是，我们所倡导慈善活动将不以捐款捐物为主要手段，而是希望大家拿出时间和精力来给予一份长期的关注和投入。欢迎任何有意向和建议的同事随时和联络人王晓燕联系（8621-61135935/sandra.wang@xinhuafinance.com）

The scholarship project in Shanghai University of Finance and Economics will be continued and the materials of excellent candidates have been
delivered to HR Department already.

Moreover, Xinhua Finance Shanghai has participated Eco-Office Audit Program through THE JANE GOODWILL INSTITUTE-SHANGHAI ROOTS AND SHOOTS. (Please refer to the following page for details)

Meanwhile, to make contribution to the society, HRA intends to organize some kind of charity activities aperiodically. For example, in Shanghai, we may seek for some suitable projects based on “Shanghai Volunteer”. We need to mention that donation is not our focus this time. What we call for is a long-term care and devotion that requires your time and energy. Thank you all for your continued help and support to our company. Over the past year, we have gone through a great deal of restructuring. As I mentioned to many of you previously, the company is now in a very healthy state. In order to improve our company as well as to meet listing requirements, we have started to implement the J-Sox compliance program, effective March 3rd, 2009.

2006 年6 月7 日，日本国会通过《金融工具与交易法》，将日本版萨班斯－奥克斯利法案（J-SOX）列入法律。这是一项对所有在日本上市的公司的强制性要求。我们应当充分认识到，必须全力以赴投入到该项目中才能从容地迎接2009 年12 月31 日即法案实施日的到来。
J-SOX was enacted as law when the Financial Instrument and Exchange Law was passed by Japan's Congress on 7 June 2006. This is a mandatory compliance for all companies listed in Japan. It is crucial for us to recognize and fully support this project in order to be prepared for the compliance due date which is by 31 December 2009.

根据 J-SOX 的规定，我们将需要对财务报告内部控制的设计和运营效能进行评估并在其归档文件中报告评估结果。独立审计机构将提供管理层评估效能鉴证报告。该项目由公司亚太区首席财务官容秀英女士领导并指派亚太区财务副主管陈诗韵女士和内审师沈嘉声先生协理。并且，公司斥资聘请了甫瀚－一家专业内审咨询机构进驻当地以协助进行管理评估。此外,德勤将作为独立审计机构将对所提供的效能和评估做出确认。
Under J-SOX, we will need to assess the design and operating effectiveness of internal control over financial reporting (“management assessment”) and report the results in our filings. Our project team is lead by Korea Yung, CFO (AP) and will be coordinated by Dawn Chan, Deputy Financial Controller (AP) and Eugene Sim, Internal Auditor. We have also engaged Protiviti (a professional accounting firm) to assist us in the management assessment. Then, the independent auditor (i.e. Deloitte) will provide a confirmation of the effectiveness of management's assessment.

J-SOX 项目的成功与否完全关键取决于每一位员工的支持和参与，同时我也要感谢大家将对项目组成员甫瀚和德勤的全力支持和友善协助。
The key success factors for this J-SOX compliance project will be the participation and support from all employees. I would be grateful, if you can fully support and extend you kind assistance to our project team members, Protiviti and independent auditor, Deloitte.
